Acquisition of All Shares of CLN Slovakia s.r.o., a Steel Service Center in Slovakia

Nippon Steel Trading Corporation (hereinafter referred to as "our company") has decided to acquire all shares of CLN Slovakia s.r.o. (hereinafter referred to as “CLN SK”), a steel service center in Slovakia currently owned by C.L.N. COILS LAMIERE NASTRI S.p.A., through our European subsidiary, NIPPON STEEL TRADING AUSTRIA GmbH.
This acquisition represents a strategic business investment aligned with one of the growth strategies outlined in our Medium‑to Long‑Term Management Plan: the expansion of overseas operations. Our company will continue to pursue initiatives aimed at further business growth.
1.Overview of the Acquisition
CLN SK is a steel service center located within the premises of NIPPON STEEL SLOVAKIA s.r.o. (hereinafter referred to as “NSSK”) in Košice, Slovakia. By leveraging the company’s processing capabilities, customer base, and operational expertise, our company has decided to acquire all shares of CLN SK in order to strengthen steel distribution and processing functions within Europe.
Following the completion of the share acquisition, CLN SK is scheduled to change its corporate name to “NST Service Center Slovakia s.r.o.”
2.Purpose of the Acquisition
(1) Expanding Processing and Value-Added Operations in Europe
Manufacturing industries continue to expand in Europe, particularly in Central and Eastern Europe, increasing the importance of stable steel supply and local processing capabilities. Through the succession of CLN SK’s business operations, our company aims to further localize its operations within Europe while enhancing high-value‑added steel services and strengthening supply chains.
(2) Strengthening Competitiveness by Leveraging CLN SK’s Strengths
By incorporating CLN SK’s strengths in automotive processing, delivery functions, and sales capabilities, our company aims to expand business opportunities and improve profitability in the automotive, construction and industrial machinery, home appliance, and solar energy sectors.
(3) Creating Synergies within the Nippon Steel Group
By establishing our operations within the premises of NSSK, the core European base of Nippon Steel Corporation, we will strengthen the framework for close information sharing and strategic collaboration within the Nippon Steel Group and accelerate initiatives to maximize our role as the Group’s core trading company.
3.About CLN SK
Since commencing operations in 2007, CLN SK has operated as a steel service center specializing primarily in slitting and leveling processing for the automotive industry.
